The full terms are below and they are what count — but this is the shape of them.

Proprietary, not open source

The ERP platform and this website are licensed to Kolkata Sweets for its own business. The source code is not published and is not available for redistribution.

Licensed, not sold

Lacspace retains ownership of the platform, its architecture and its source code. Kolkata Sweets holds a perpetual licence to use it for its own operations.

Your business data is yours

Every record the system holds — recipes, customers, orders, stock — belongs to Kolkata Sweets and is exportable on request at any time.

Open source, acknowledged

The platform is built on open-source components, each under its own licence. They are listed in full below.

This page states the licence terms for the Platform as delivered. It is a summary published for transparency — where it differs from the signed agreement between Kolkata Sweets Pvt. Ltd. and Lacspace, the signed agreement governs. It is not legal advice.

The agreement

Licence terms

1.Definitions

  1. 1.1"Licensor" means Lacspace (lacspace.com), the technology partner that designed, built and maintains the Platform.
  2. 1.2"Licensee" means Kolkata Sweets Pvt. Ltd., Kathmandu, Nepal.
  3. 1.3"Platform" means the Kolkata Sweets ERP system, its administrative dashboard, its REST API, this public website, and all associated source code, designs, database schemas and documentation supplied by the Licensor.
  4. 1.4"Business Data" means all data entered into, generated by, or uploaded to the Platform in the course of the Licensee's operations.

2.Grant of licence

  1. 2.1The Licensor grants the Licensee a perpetual, non-exclusive, non-transferable, worldwide licence to install, operate and use the Platform for the internal business purposes of the Licensee and its branches.
  2. 2.2The licence covers unlimited internal users, unlimited branches and unlimited transaction volume. There is no per-seat charge.
  3. 2.3The licence takes effect on delivery and continues unless terminated under clause 8.

3.Ownership and intellectual property

  1. 3.1The Platform is licensed, not sold. The Licensor retains all right, title and interest in the Platform, including its source code, architecture, interface designs, brand assets produced for the Platform, and any derivative works.
  2. 3.2Nothing in this licence transfers ownership of the Licensor’s pre-existing intellectual property, frameworks, libraries or internal tooling.
  3. 3.3Trade marks, trading names and brand identity belonging to the Licensee remain the property of the Licensee.

4.Permitted use

  1. 4.1The Licensee may operate the Platform across all of its branches, kitchens and outlets, present and future, within the Kathmandu Valley and elsewhere in Nepal.
  2. 4.2The Licensee may permit its employees, contractors and accountants to access the Platform for the Licensee’s business purposes, provided they observe these terms.
  3. 4.3The Licensee may take and retain backups of the Platform and its Business Data without limit.

5.Restrictions

  1. 5.1The Licensee may not sell, sublicense, rent, lease or otherwise distribute the Platform or its source code to any third party.
  2. 5.2The Licensee may not operate the Platform as a service for third parties, or use it to process the business of another company, without the Licensor’s prior written agreement.
  3. 5.3The Licensee may not remove, obscure or alter any copyright notice, attribution or licence notice contained in the Platform.
  4. 5.4Reverse engineering, decompilation or derivation of source code from compiled artefacts is not permitted, except to the extent that such a restriction is void under applicable law.

6.Business data and privacy

  1. 6.1All Business Data is and remains the exclusive property of the Licensee. The Licensor claims no ownership of it and no right to use it beyond what is necessary to operate and support the Platform.
  2. 6.2The Licensor will not sell, share or disclose Business Data to any third party except where required by law, and will notify the Licensee of any such requirement unless prohibited from doing so.
  3. 6.3On request, at any time and without charge, the Licensor will provide a complete export of Business Data in a standard, machine-readable format.
  4. 6.4Customer personal data collected through this website — names, phone numbers and email addresses submitted with reservation requests — is processed solely to fulfil those requests and is retained under the Licensee’s own retention policy.

7.Support, maintenance and warranty

  1. 7.1Support, maintenance, hosting and update terms are set out in the separate services agreement between the parties and are not granted by this licence.
  2. 7.2The Licensor warrants that it has the right to grant this licence and that the Platform does not knowingly infringe the intellectual property rights of any third party.
  3. 7.3Beyond that warranty, and to the fullest extent permitted by law, the Platform is provided "as is". The Licensor does not warrant that it will be uninterrupted or error-free.
  4. 7.4Neither party is liable for indirect, incidental or consequential loss. The Licensor’s aggregate liability under this licence is limited to the fees paid for the Platform in the twelve months preceding the claim.

8.Term and termination

  1. 8.1This licence is perpetual and survives the end of any related services agreement.
  2. 8.2The Licensor may terminate the licence only on a material breach of clause 5 that remains uncured thirty days after written notice.
  3. 8.3On termination the Licensee must cease using the Platform, but retains the right to a full export of its Business Data.

9.Governing law

  1. 9.1This licence is governed by the laws of Nepal, and the courts of Kathmandu have exclusive jurisdiction over any dispute arising from it.

Lacspace is an AI-powered software development company registered in Nepal and India, founded by Chandan Karna. They designed and built the ERP platform this business runs on — production, inventory, recipes, billing, orders and reservations — along with this website.
